Terms and Conditions for NH Promotions Digital Magazine Advertising

1. Introduction
These terms and conditions govern the sale and placement of advertising in the NH Promotions Digital Magazine (the “Magazine”), which is distributed quarterly via email to NHS workers and contractors (the “Recipients”). The Magazine provides subscribers with access to promotions, services, and other information relevant to their professional and personal needs. By purchasing advertising space, the advertiser (the “Advertiser”) agrees to these terms and conditions in full.
2. Advertising Content
The Advertiser is solely responsible for providing all content for the advertisement, including images, text, and any links, in accordance with the content guidelines provided by NH Promotions. NH Promotions reserves the right to review, approve, and, if necessary, request modifications to any content deemed inappropriate, offensive, or inconsistent with the values and interests of the Recipients. NH Promotions also reserves the right to reject any content that may violate legal or regulatory standards.
3. Payment
Payment for advertising space must be made in full at the time of booking unless otherwise agreed in writing. Advertising space is not confirmed until payment has been received. All payments are non-refundable except as provided in Section 7 (Cancellation and Termination). NH Promotions, as an independent publisher, manages all advertising transactions directly; it is not affiliated with or endorsed by the National Health Service or any governmental body within the United Kingdom’s healthcare or emergency service sectors.
4. Placement and Presentation
NH Promotions will present the Advertiser’s details within the Magazine and distribute it via email to the Recipients each quarter. While NH Promotions considers Advertiser preferences for placement within the Magazine, the final placement is at the sole discretion of NH Promotions.
5. No Guarantee of Response
The Advertiser acknowledges that NH Promotions distributes the Magazine as agreed but does not guarantee that Recipients will respond to, engage with, or purchase from the advertised offer, service, or product. NH Promotions makes no representations or warranties regarding the effectiveness of any advertisement in generating business, sales, or leads.
6. Privacy and Data Protection
NH Promotions is committed to protecting the privacy and security of its subscribers. All personal information collected from subscribers is handled in compliance with the General Data Protection Regulation (GDPR) and other relevant data protection regulations. NH Promotions does not share, sell, or disclose personal subscriber information to advertisers or third parties, except as required by law.
7. Cancellation and Termination
The Advertiser may cancel their advertisement up to 7 days after reserving space in the publication by providing written notice to NH Promotions. If a cancellation request is received within this timeframe, a full refund will be issued. NH Promotions reserves the right to terminate this agreement at any time, with or without cause, by providing written notice to the Advertiser. In the event of termination by NH Promotions not due to breach by the Advertiser, a prorated refund of any prepaid fees will be provided.
8. Intellectual Property
The Advertiser grants NH Promotions a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, display, and perform the advertising content as necessary to fulfill its obligations under these terms and conditions. The Advertiser represents and warrants that they own or have the necessary licenses, rights, consents, and permissions to use and authorize NH Promotions to use all intellectual property within the advertisement.
9. Indemnification
The Advertiser agrees to indemnify, defend, and hold harmless NH Promotions and its affiliates, officers, agents, employees, and partners from any claim, demand, loss, or damages, including reasonable attorney fees, made by any third party arising out of or in connection with the Advertiser’s advertisement, use of the advertising services, violation of these terms, or infringement of any third-party rights.
10. Limitation of Liability
In no event shall NH Promotions be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with these terms and conditions, the advertising services, the use of the Magazine, or any advertising content placed therein, whether the claim is based in contract, tort, negligence, strict liability, or otherwise.
11. General Provisions
These terms and conditions constitute the entire agreement between the Advertiser and NH Promotions regarding the subject matter herein and supersede all prior agreements and understandings, written or oral. NH Promotions reserves the right to amend these terms and conditions from time to time. The failure of NH Promotions to enforce any right or provision shall not constitute a waiver of that right or provision.
12. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England, Wales, and Scotland, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in these regions.
By purchasing advertising space in the NH Promotions Digital Magazine, the Advertiser acknowledges that they have read, understood, and agree to be bound by these terms and conditions.
